Terms of Service

1. Acceptance of Terms
By creating an account or using the useTOMMI platform ("Service"), operated by useTOMMI, Inc. ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
useTOMMI is a software-as-a-service (SaaS) platform that provides property management companies with automated utility bill splitting using Ratio Utility Billing System (RUBS) methodology. The Service includes AI-powered bill parsing, charge calculation, tenant notification, and property management software export capabilities.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Subscription and Billing
4.1 Pricing
The Service is offered on a subscription basis at $8.00per RUBS-enrolled unit per month. Pricing is subject to change with 30 days' prior notice. Changes take effect at the start of your next billing cycle.
4.2 Free Trial
New accounts may be eligible for a free trial period. At the end of the trial, your subscription will begin unless you cancel before the trial expires. No charge is incurred during the trial period.
4.3 Payment
Billing is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You are responsible for keeping your payment information current. Failed payments will trigger a grace period, after which access to the Service may be restricted until payment is resolved.
4.4 Refunds
Subscription fees are non-refundable except where required by applicable law. If you believe you have been incorrectly charged, contact us within 30 days of the charge.
5. Data Ownership and License
5.1 Your Data
You retain all ownership rights to the data you upload, enter, or generate through the Service ("Customer Data"), including but not limited to property information, unit details, tenant contact information, utility bill documents, and calculated charges. useTOMMI does not claim ownership of your data.
5.2 License to Process
By using the Service, you grant useTOMMI a limited, non-exclusive, worldwide license to access, process, store, and transmit your Customer Data solely for the purpose of providing and improving the Service. This includes:
- Processing bill images and documents through AI parsing
- Calculating and storing utility charge allocations
- Sending tenant notification emails on your behalf
- Generating reports and analytics from your billing data
- Creating data exports in formats compatible with property management software
5.3 Data Portability
You may export your data at any time using the export features provided in the Service. Upon termination, we will make your data available for export for a period of 30 days, after which it may be deleted.
5.4 Aggregated Data
We may use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, and service improvement purposes. Such aggregated data will not identify you or any individual tenant.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Upload content that is malicious, fraudulent, or infringes on third-party rights
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service to send spam or unsolicited communications to tenants
7. Service Availability
7.1 Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.
7.2 Modifications
We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.
7.3 Support
Support is provided via in-app chat (askTOMMI) and email during business hours. Response times may vary based on the nature and severity of the issue.
8. AI-Powered Features
The Service uses artificial intelligence to parse utility bills and extract structured data. While we strive for high accuracy, AI-generated results may contain errors. You are responsible for reviewing and confirming all parsed data and calculated charges before approving them for tenant notification. useTOMMI is not liable for errors in AI-generated outputs that are approved and sent without review.
9. Tenant Communications
When you use the Service to send charge notifications to tenants, you represent that you have the legal right to bill those tenants for utility charges under the terms of their lease agreements. useTOMMI sends notifications on your behalf but is not a party to any lease or billing arrangement between you and your tenants.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL useTOMMI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
10.3 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless useTOMMI and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party, including tenants; or (d) any Customer Data you submit to the Service.
12. Termination
12.1 By You
You may cancel your subscription at any time through the account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of that period.
12.2 By Us
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees after the grace period, or if we determine that your use of the Service poses a risk to the Service or other users. We will provide notice before termination except in cases requiring immediate action.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases. Your data will be available for export for 30 days following termination. After this period, we may delete your data in accordance with our data retention policies. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership, warranty disclaimers, indemnification, and limitations of liability.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13.2 Informal Resolution
Before filing any formal dispute, you agree to attempt to resolve the matter informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.
13.3 Arbitration
Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or, at your election, remotely via videoconference. The arbitrator's decision shall be final and binding.
13.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14. Intellectual Property
The Service, including its software, design, features, documentation, and branding, is owned by useTOMMI and protected by intellectual property laws. These Terms do not grant you any right to use useTOMMI's trademarks, logos, or branding without our prior written consent.
15. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.
17. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and useTOMMI regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor entity.
- Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
